Charities, social enterprises, and co‑ops all aim to create social value, but they differ fundamentally in ownership, control, and how benefit flows.

A charity exists for public benefit only. It has no owners and is governed by trustees who make decisions — beneficiaries don't have a formal role in control. Charities are financed through grants, donations, and contracts, and any surplus must be reinvested in charitable purposes. They are regulated by the NI Charity Commission.

A social enterprise trades for a social mission, but its legal form can vary. It is often a Company Limited by Guarantee, with directors and a board who may or may not involve stakeholders in decision‑making. Social enterprises are financed through trading income, grants, and loans, and profit is reinvested in the mission, though rules can vary. They are typically regulated by Companies House.

A co‑operative exists to meet the shared needs of its members, or, if it's a Community Benefit Society, the wider community. Members collectively own the enterprise and control it democratically on a one‑member‑one‑vote basis.

Co‑ops are financed through trading income, member contributions, and for BenComs, community shares. Surpluses are reinvested or shared according to democratic rules. Societies are regulated by the Financial Conduct Authority.

The key distinction is that a co‑op is not just a business with a social purpose — it is a democratic ownership model. That's the fundamental shift a group must understand when considering start up and/or conversion.
